SONICPAY TERMS OF SERVICE

Effective Date: March 26, 2026

Entity: Sonic Services W.L.L. (“SonicPay”)

Jurisdiction: Kingdom of Bahrain

1. Acceptance of Terms

By downloading, accessing, or using SonicPay, you agree to these Terms of Service (“Terms”). If you do not agree, you must not use the app. You confirm that:

  • You are at least 18 years old
  • You have legal capacity to enter into binding agreements

2. Regulatory Status

SonicPay operates under the Regulatory Sandbox of the Central Bank of Bahrain. SonicPay:

  • Is not a licensed bank
  • Is not a licensed cryptocurrency exchange
  • Provides services on a test (sandbox) basis

Services may be limited, modified, or discontinued at any time in line with regulatory requirements.

3. Nature of Services

SonicPay provides a financial technology platform that may include:

  • Payment facilitation services
  • Merchant payment processing
  • Fiat-to-digital asset conversion (limited to supported assets such as stablecoins)
  • Access to third-party financial and digital asset providers

SonicPay acts strictly as a technology intermediary and aggregator. Execution, settlement, and certain financial services are provided through third-party partners, including:

  • Brighty UAB
  • ARP Digital

SonicPay does not independently provide exchange liquidity or operate as a trading venue.

4. No Custody of Funds

SonicPay:

  • Does not hold or safeguard customer funds or digital assets
  • Relies on third-party partners, including Brighty UAB and ARP Digital, for execution, settlement, and custody (where applicable)

You acknowledge that:

  • Transactions are executed via these third-party providers
  • SonicPay is not responsible for their operational performance

5. Account Registration

To use SonicPay, you must:

  • Create an account
  • Complete identity verification (KYC)
  • Provide accurate and up-to-date information

We may:

  • Request additional documentation
  • Suspend or reject accounts at our discretion

6. Fees

Fees may include:

  • Transaction fees
  • Conversion spreads
  • Third-party processing fees (including those charged by partners such as Brighty UAB and ARP Digital)

All fees will be disclosed prior to transaction confirmation.

7. Transaction Limits

Due to sandbox requirements, SonicPay may impose:

  • Daily or monthly transaction limits
  • Aggregate usage caps

These limits may change without prior notice.

8. Risk Disclosure

Using SonicPay involves financial risk. Digital assets:

  • Are volatile
  • May lose value
  • Are not guaranteed or insured

You acknowledge that:

  • Services rely on third-party providers, including Brighty UAB and ARP Digital
  • SonicPay does not provide investment advice

9. Prohibited Use

You agree not to:

  • Use SonicPay for illegal activities
  • Engage in fraud, money laundering, or terrorism financing
  • Misrepresent your identity
  • Circumvent compliance controls

10. Suspension & Termination

We may suspend or terminate your account if:

  • Required by law or regulatory authorities
  • Suspicious activity is detected
  • You breach these Terms

11. Limitation of Liability

To the maximum extent permitted by law, SonicPay is not liable for:

  • Indirect or consequential damages
  • Losses due to market volatility
  • Failures, delays, or errors caused by third-party partners, including Brighty UAB and ARP Digital

12. Governing Law

These Terms are governed by the laws of the Kingdom of Bahrain.
